The FTC has unanimously approved major changes to the pre-merger filing process, albeit fewer than were originally proposed. The amendments will increase time and costs for parties in deals valued at more than $119m , adding an estimated 68 hours to the response process, and are the most significant changes to the Hart-Scott-Rodino antitrust act since it became law more than 40 years ago.
“The information required by the Final Rule will mitigate the risk of false positives. It can reveal that a merger presents no competitive threat at all, and the Commission can avoid crawling down rabbit holes in unnecessary investigations,” said Andrew Ferguson, one of the FTC’s two Republican commissioners.
